8.5 ISP acknowledges that manufacturers have the right to enter into certain exclusive distribution agreements or minimum advertised price agreements for their products. 8.6 Each Seller agrees that ISP and its affiliates will not be harmed from all claims, causes of action, damages and judgments arising out of or arising out of any claim of intellectual property infringement or the removal of any content or product listing in connection therewith.



9. Purchase and Payment



9.1 The ISP supports one or more of the following payment methods in each country in which it operates:



(i) Credit Card

10. Seller Wallet



10.1 Your Account allows for the storage of funds ("Seller Wallet") that you receive from sales proceeds on the Platform. The sum of this money minus any withdrawals will be reflected in your seller wallet balance.



10.2 You may submit a maximum of one transfer request per day ("Withdrawal Request") to transfer funds from your Seller's wallet (up to your ISP wallet balance) to your linked bank account ("Linked Account"). At the ISP's discretion, the ISP may also periodically automatically transfer funds from your seller wallet to your linked account. ISPs can only process such transfers on business days and it may take up to two business days for such transfers to be credited to your linked account.



10.3 Seller is entitled to one (1) free withdrawal request per week (“Weekly Withdrawal Limit”). The ISP may charge a fee of USDT0.12 (“Withdrawal Fee”) for each additional withdrawal request exceeding the weekly withdrawal limit. Withdrawal fees are FOC


10.4 Payments made by you for the sale of the Goods on the ISP shall be credited to Your Seller Wallet within three (3) days of the Goods being delivered to the Buyer or as soon as the Buyer has confirmed receipt of the Goods.



10.5 Once submitted, you may not modify or cancel a withdrawal request.



10.6 In the event of an error in the processing of any transaction, you authorize us to initiate a debit or credit entry to a bank account designated by you to correct the error, provided that any such correction complies with applicable laws and regulations. If for any reason we are unable to debit your nominated bank account, you authorize us to resubmit the debit and any applicable charges to any other bank account or payment instrument you have on file with us, or debit the debit and applicable Fees will come from your seller wallet. 10.7 You authorize us to initiate a debit or credit entry to your seller wallet:

(ii) the ISP determines that you are engaged in fraudulent or suspicious activities and/or transactions;



(iii) in relation to any lost, damaged or incorrect item;



(iv) in relation to any reward or rebate;



(v) in relation to any uncollected fees;



(vi) in connection with the resolution of any transaction disputes, including any compensation due or due to you;



(vii) in relation to any prohibited item or item detained by customs;



(viii) in relation to any change of mind agreed between the buyer and the seller;



(ix) recover any outstanding amounts you owe us (including late fees and/or interest); and



(x) Purchase Ad Credits if you have activated the Ad Credit Recharge feature and your Ad Credits are less than the minimum amount of your Ad Credits.



10.8 We reserve the right to restrict, freeze or suspend your seller wallet for any reason, including your failure to repay outstanding amounts owed to us by the due date.



11. Shopping payment



11.1 All transaction is deal with USDT.



12. Shopping Guarantee



12.1 ISP Guarantee is a service provided by ISP or its authorised agents to protect purchases. To avoid liability risk, payments made to the Seller using the Services will be held by the ISP or its authorized agent (the ISP Guarantee Account). The Seller will not receive interest or other income from payments you make to the ISP Guarantee Account.



12.2 After the Buyer has paid for its order ("Buyer's Payment"), the Buyer's payment will remain in the ISP Guarantee Account until:



(a) Buyer sends ISP confirmation that Buyer has received his/her Goods, in which case ISP will release Buyer's purchase monies (minus Seller's shipping percentage (if applicable) unless 12.2(d) applies) , the amount of fees and taxes (as defined below) and (if applicable) cross-border fees (as defined below) paid to the seller in the transaction ISP Guarantee Account;



(b) the ISP Warranty Period (or any extension approved under 12.3) expires, in which case, unless 12.2(c) or 12.2(d) applies, the ISP will release Buyer's purchase monies (minus Seller's shipping charges) Proportion (if applicable), ISP Guarantee Account to Seller's Transaction Fees and Taxes (as defined below) and (if applicable) Cross-Border Fees (as defined below));



(c) ISP determines that Buyer's return and/or refund request is successful, in which case ISP will provide Buyer with a refund in accordance with the Refund and Return Policy unless 12.2(d) applies ;



(d) other time charges (as defined below) as reasonably determined by ISP to allocate Buyer's purchase monies (less Seller's proportion of shipping (as applicable), transaction fees and taxes (as defined below) and (as applicable) cross-border payments) ) is appropriate, including but not limited to circumstances where it deems reasonably necessary to comply with applicable law or court order or to enforce these Terms of Service.



ISP Guarantee is only available to buyers who pay to the ISP Guarantee Account through the channels provided by the ISP. ISP Guarantee does not cover offline arrangements between buyers and sellers.



12.3 Payments made through the ISP Channels will remain in the ISP Guarantee Account for a specified period of time (“ISP Guarantee Period”). Buyer may apply for a one-time extension of the ISP Warranty Period prior to the expiration of the applicable ISP Warranty Period, subject to and subject to the Refund and Return Policy. 12.4 If for any reason the Seller's bank account cannot be credited and/or the Seller cannot be reached, the ISP will use reasonable efforts to contact the Seller using the contact details provided by the Seller. 12.6 ISP Guarantee is in addition to, but not limited to, the obligations of Buyer and Seller under applicable law and may go beyond what ISP Guarantee provides. Coins Cashback prices are calculated in Malaysian Ringgit, which is the amount of additional Shopee Coins deposited into the buyer's account divided by 100, rounded to the nearest cent. After delivery of display advertising services, ISP shall invoice Seller based on the actual number of impressions received, and Seller shall pay the invoice in accordance with the terms set forth in the invoice. Billing information provided by the seller will be used to generate invoices and tax invoices for display ads. It is the seller's responsibility to ensure that billing information is correct before submitting a display insertion order. Any errors in the submitted billing information that may result in incorrect information in the invoice and tax invoice are the responsibility of the seller. ISP reserves the right to refuse invoice revision requests due to incorrect information submitted by the seller. Billing information provided by the seller will be used to generate invoices and tax invoices for display ads.
